Terms & Conditions

These Terms and Conditions with the schedules and attachments hereto, including the Rate Offer, together with the Membership Details, as well as the Privacy Statement, are legally binding documents, and form the BlueSG Contract (hereinafter collectively referred to as the “ Contract ”) between the Member (“ You ” or “ Member ” or “ Your ”) and BlueSG Pte. Ltd. (“ BlueSG ”) and define the Member’s and BlueSG’s respective rights and obligations.

BlueSG generally permits its Members (as hereinafter defined), as further detailed and limited by the Contract, the ability to:

(a) reserve and operate self-service electric automobiles supplied by BlueSG (“ BlueSG Car(s) ”);

(b) use the recharging site (“ BlueSG Stations ”) including parking locations for such BlueSG Cars (“ BlueSG Parking Space ”);

(c) reserve the equipment installed at BlueSG Stations for recharging a BlueSG Car (“ Charge Point ”); and

(d) use the technology software platform (including the smart phone app) and all updates, upgrades, patches, or new versions thereof (“ Software ”) that operates all of the foregoing,

collectively referred to as the “ BlueSG Services ”.

BY CREATING A BLUESG MEMBERSHIP, YOU ACKNOWLEDGE AND CERTIFY THAT YOU HAVE READ, AND UNDERSTOOD, AND AGREE TO BE BOUND BY ALL OF THE TERMS, CONDITIONS, PROVISIONS AND NOTICES CONTAINED HEREIN, ALONG WITH ALL ATTACHMENTS, INCLUDING THE RATE OFFER, AS WELL AS THE MEMBERSHIP DETAILS, JUST AS IF YOU HAVE SIGNED THIS CONTRACT.

THESE TERMS AND CONDITIONS CONTAIN, INTER ALIA, IMPORTANT INFORMATION RELATING TO THE RATE OFFER, USE OF THE BLUESG SERVICE, THE AUTO INSURANCE SUPPLIED, LIMITATIONS ON BLUESG’S LIABILITY, MEMBER’S OBLIGATION TO COMPENSATE BLUESG FOR VARIOUS BREACHES OF THIS CONTRACT AND AUTOMATIC RENEWAL OF MEMBERSHIP.

THE LEGALLY BINDING DOCUMENTS ARE, IN ORDER OF PRIORITY, THE TERMS AND CONDITIONS AND THE PRIVACY STATEMENT.

BY CREATING A BLUESG MEMBERSHIP, YOU CERTIFY THAT YOU HAVE READ, UNDERSTOOD AND AGREED TO BE BOUND BY THE BLUESG CONTRACT AND THE TERMS AND CONDITIONS SET OUT HEREIN, INCLUDING AN AUTOMATIC RENEWAL OF YOUR MEMBERSHIP.

1. DEFINITIONS

 Car Reservation Fee and the Additional Fee for failure to collect the BlueSG
 Car within the reservation period. Where it has not been utilised due to any
 other reason, such amount will be refunded to You.

 Space; and/or
      </span>
     </p>

       to commence his or her rental; and/or

       (c)
      </span>
      <span>
       to pay for his or her bills; and
      </span>
     </p>
     <p>

       (d)
      </span>
      <span>
       utilize a particular Rental Packages.
      </span>
     </p>

 Parking Space within the reservation period. Where it has not been utilised
 due to any other reason, such amount will be refunded to You.

 Station of your choice becomes available. For the avoidance of doubt, the
 applicable Reservation Fees shall be the one specified at the time of

2. ELIGIBILITY FOR MEMBERSHIP

2.1 You are eligible to apply for a BlueSG Membership if You meet the following criteria (“ Eligibility Criteria ”):

2.1.1 You have attained the age of 20 and You are under the age of 69; and

2.1.2 You have not less than twelve (12) months’ driving experience; and

2.1.3 You hold any of the following driving licence:

(a) for all Singapore citizens, permanent residents and foreigners residing in Singapore for more than twelve (12) months: a valid Class 3/3A/3C/3CA driving licences. For drivers above the age of 65, a valid Class 3/3A/3C/3CA driving licence with not less than three (3) months validity;

(b) for drivers from any ASEAN country 1 residing in Singapore for less than 12 months: a valid driving licence from such ASEAN country;

(c) for drivers from all other countries residing in Singapore for less than 12 months: a valid foreign driving licence and international driving permit (“ IDP ”) issued by an authorised body in their country of origin. If an IDP is not available, an official translation of Your foreign licence in English is required; and

2.1.4 for Singaporeans and permanent residents, You hold a valid picture ID in the form of Your national registration identity card (NRIC); and

2.1.5 for foreigners, You hold a valid picture ID in the form of a passport or Singapore Government Issued Pass; and

2.1.6 You hold a valid credit or debit card accepted by BlueSG 2 , for the entire duration of Your Contract including any renewals; and

2.1.7 You do not owe any money to BlueSG; and

2.1.8 You must certify that You have the mental and physical capacity to competently, safely and lawfully operate a motor vehicle.

For the avoidance of doubt:

(a) provisional drivers' licence holders i.e. learner drivers who are accompanied by instructors and/or any other person, and drivers with less than twelve (12) months’ driving experience who are under probation (i.e. p-plate drivers who are required, under Applicable Laws, to affix the orange triangle with the yellow background on the front and back windscreen of the vehicle), are strictly NOT permitted to become members. Members who permit non-members who fall in either one of the above categories to use the BlueSG Car shall NOT be eligible for Insurance Cover and in addition, shall be liable for any penalties and/or Additional Fees that may be imposed by the relevant authorities and/or BlueSG, due to non-compliance with Applicable Laws.

(b) drivers aged 65 years and above must furnish a valid Medical Examination Acknowledgement Letter issued by the Traffic Police.

for the verification of documents submitted for BlueSG Membership eligibility, only photographs of actual identity documents (such as driving licence, driving permit, NRIC, passport, Singapore Government Issued Pass) will be accepted. E-Documents, scans, screenshots or photocopies of these identity documents will not be accepted. Screenshots of Singpass digital identity documents may be accepted.

2.2 If You meet the Eligibility Criteria, You can apply to become a Member by:

2.2.1 completing the Membership application process on the BlueSG Mobile App;

2.2.2 paying the first instalment of the Membership Fee, if any, using a valid debit or credit card (Visa or MasterCard as amended, supplemented and restated from time to time on the BlueSG Website) (the “ Payment Card ”);

2.2.3 adding a valid Payment Card to Your BlueSG account enabling BlueSG to withdraw all future instalments of the Membership Fees corresponding with Your selected Membership type, all Rental Fees due, all surcharges, tolls (including, without limitation, any ERP charges), fines and tickets issued against the BlueSG Car during any Rental Period, any Additional Fees any Reservation Fees that fall due, any Excess or Third Party Excess, and any BlueSG Station Repair Costs that fall due, the reasonable expenses incurred by BlueSG in recovering any amounts due from the Member (including legal expenses or fees or the use of third parties to collect any Fees owed by the Member to BlueSG, and any late payment interests due (collectively referred to as “ Fees ”) chargeable from Your bank account;

2.2.4 authorising BlueSG to pre-authorise the applicable Membership Fees on Your Payment Card for the security deposit in accordance with section 6.1; and

2.2.5 agreeing to be bound by and comply with the Contract including these Terms and Conditions.

2.3 Holders of an expired, suspended, cancelled, withdrawn, restricted, or otherwise invalid driving licence or whose driving licence has been lost or stolen are not eligible to take up a Membership. If, at any time during the Membership, a Member loses his driving licence, or the Member's driving licence is stolen, expires or is suspended, cancelled, withdrawn, restricted, otherwise becomes invalid or ceases to meet the Eligibility Criteria, the Member must notify the Customer Relations Centre as soon as possible. Members who drive without a valid licence will NOT be eligible for Insurance Cover and will be liable for any penalties that may be imposed by the relevant authorities or BlueSG, due to non-compliance with Applicable Laws.

2.4 BlueSG reserves the right to deny Membership to any person based on such person’s driving record, including without limitation, arrests or charges in relation to vehicle operation, including those which have yet to be fully adjudicated or did not result in a charge or prosecution.

2.5 You authorise BlueSG, at any time, to check Your credit and/or other equivalent data sources that identify any risk associated with the provision of any BlueSG Services to You. We may decline to provide BlueSG Services to You, or cease providing BlueSG Services already underway, based upon the results of such checks.

2.6 You acknowledge and agree that meeting the Eligibility Criteria does not automatically entitle You to become a Member or to use the BlueSG Services, and approval of Your application to become a Member is at BlueSG's sole discretion. Such approval may be subjected to additional criteria imposed by either BlueSG or its Insurer, from time to time. BlueSG will notify You of its approval or rejection through the BlueSG Mobile App or email.

2.7 In the event that BlueSG rejects Your application for Membership, only the first instalment of the Membership Fees will be retained as administrative charges.

3. RATE OFFERS AND MEMBERSHIP

3.1 A BlueSG Member may select from any one (1) of the following Rate Offers:

3.1.1 BlueSG Basic Membership : a monthly membership which shall last for a period of one (1) month from the Activation Date and shall be automatically renewed for successive periods of one (1) month each unless otherwise upgraded to a BlueSG Premium Membership or terminated in accordance with the provisions herein: OR

3.1.2 BlueSG Premium Membership : a six (6) month membership which shall last for a period of six (6) months from the Activation Date and shall be automatically renewed for successive periods of six (6) month each unless otherwise terminated in accordance with the provisions herein.

A BlueSG Member with a Basic Membership has the option to upgrade his or her Membership to a BlueSG Premium Membership at any time during his or her Membership period and such upgrade will take effect on the Renewal Date. For the avoidance of doubt, such request may be made by way of a written message through Your BlueSG account or by calling the Customer Relations Centre. Upon receipt of Your request, You will receive a message confirming your upgrade and the key terms of the BlueSG Premium Membership.

3.2 In addition, BlueSG may, at any time, introduce for such period and open to such category of Members as BlueSG may determine in its sole discretion, from time to time, any other Rate Offer (including, without limitation, a youth offer, a seniors’ offer etc). For the avoidance of doubt, BlueSG does not guarantee the availability of any Rate Offers and shall not be held liable in the event that Your selected Rate Offer is unavailable.

3.3 Provided that you are a pre-existing BlueSG Member irrespective of the type of BlueSG Membership You hold, You may also benefit from the Rental Packages which BlueSG may also offer at any time at their sole discretion.

3.4 When You apply for Membership, You are required to select Your Membership type from the options set out in Schedule 1 of this Contract. You are only permitted to have one (1) Membership at a time and any application in a simultaneous membership will be null and void.

3.5 You may choose to have Your Membership begin on the Membership Date or on a later specified Activation Date. In such circumstances, the Member will not be able to use the BlueSG Service until this date.

3.6 Membership Date ” means the date selected by BlueSG when each of the following has been accomplished:

3.6.1 You have agreed to these Terms and Conditions, as well as Membership details with the corresponding charges applicable to the Membership type set out in the Rate Offer in Schedule 1.

3.6.2 The Customer Relations Centre confirms that BlueSG has received and approved all of the required documentation for Membership;

3.6.3 We have sent You Your BlueSG Membership Card if You have selected to use a BlueSG Membership Card for the BlueSG Services. For the avoidance of doubt, BlueSG Membership Cards are only available for Premium Memberships; and

3.6.4 The amount of Membership Fees due to finalise the application has been received by BlueSG.

3.7 Activation Date ” means the date selected by You upon which date the BlueSG Services are first eligible for use by You, which date shall be no later than thirty

(30) days after the Membership Date. If You have not selected an Activation Date, the Membership Date will be considered as Your Activation Date.

3.8 Your Membership will start on the Activation Date and will end at the end of the term specified for each Membership type as set out in Schedule 1 (“ Membership Period ”).

3.9 IMPORTANT NOTICE: ALL MEMBERSHIPS WILL BE AUTOMATICALLY RENEWED.

3.9.1 Your BlueSG Basic Membership Period lasts for one (1) month from the Activation Date and will be automatically renewed for successive periods of one (1) month from each one (1) month anniversary of the Activation Date (“Renewal Date”) unless You notify the Customer Relations Centre in writing by way of a message through your BlueSG account within thirty (30) days (but in any event not less than five (5) days) prior to the Renewal Date that You do not wish to renew Your Membership (unless either we or You have terminated in accordance with these Terms and Conditions).

3.9.2 Your BlueSG Premium Membership Period lasts for six (6) months from the Activation Date and will be automatically renewed for successive periods of six (6) months from each six (6) month anniversary of the Activation Date (“Renewal Date”) unless You notify the Customer Relations Centre in writing by way of a message through your BlueSG account within thirty (30) days (but in any event not less than five (5) days) prior to the Renewal Date that You do not wish to renew Your Membership (unless either we or You have terminated in accordance with these Terms and Conditions).

3.9.3 If You do not notify the Customer Relations Centre of Your intention NOT to renew Your Membership within the required timeframe, Your Membership will automatically renew until otherwise terminated by You or us in accordance with the Contract.

3.9.4 A new Membership Fee will become due on the Renewal Date unless You notify the Customer Relations Centre not to renew Your Membership in accordance with this section.

3.9.5 In the event that Your driving licence possesses an expiry date, in case of renewal, You are required to re-submit Your driving licence in the form set out in section 2.1.2 above within thirty (30) days prior to such renewal .

3.9.6 In the event that Your Membership is suspended, You must pay us any monies owed if You do not wish to renew Your Membership. Even if your Membership is suspended, You will continue to be charged Your current Membership Fee.

3.10 The Contract will commence on Membership Date or the Activation Date and continue until terminated by either Member or BlueSG in accordance with the provisions herein.

3.11 Your Membership is personal to You and is NON-TRANSFERABLE . You must NOT , under any circumstances, permit any other person to use the BlueSG Service.

3.12 For BlueSG Premium Memberships, upon completion of the Membership application process, where you have selected to use a BlueSG Membership Card, BlueSG will send You an RFID card. You must use the RFID card to operate a BlueSG Car and Charge Point (“ BlueSG Membership Card ”). Alternatively, You may select to use Your EZ Link or NETS Flashpay card (“ Registered Card ”) instead of a BlueSG Membership Card to use the BlueSG Services. You may, at any time during the term of Your Membership, select to use a different card for the BlueSG Services. If you have selected a Basic Membership, You are required to use Your Registered Card for the BlueSG Services. EZ Link cards that are more than five

(5) years old cannot be used for the BlueSG Service. If You choose to use Your Registered Card instead of the BlueSG Membership Card, You are still required to provide BlueSG with a valid Payment Card.

3.13 UNLESS A MEMBER HAS REPORTED HIS BLUESG MEMBERSHIP CARD OR REGISTERED CARD AS LOST OR STOLEN, IN THE EVENT THAT SUCH MEMBER’S BLUESG MEMBERSHIP CARD OR REGISTERED CARD IS USED FOR THE BLUESG SERVICE BY SOMEONE ELSE DURING HIS MEMBERSHIP PERIOD, SUCH MEMBER SHALL BE PERSONALLY LIABLE TO PAY FOR ALL RENTALS ASSOCIATED WITH SUCH MEMBERS’ ACCOUNT, AND ANY AND ALL DAMAGES AND LOSSES ARISING OUT OF OR IN CONNECTION WITH A RENTAL ASSOCIATED WITH SUCH MEMBERS’ ACCOUNT, INCLUDING WITHOUT LIMITATION, DAMAGE TO OR LOSS OF VALUE OF THE BLUESG CAR OR THE BLUESG STATION, DAMAGE TO SUCH MEMBER’S OWN PROPERTY AND THE PROPERTY OF OTHERS. THE MEMBER WILL ALSO BE LIABLE AND RESPONSIBLE FOR PERSONAL INJURY TO HIMSELF OR TO OTHERS IN EACH CASE WHICH RESULTS FROM A BREACH OF THESE SECTIONS. FOR THE AVOIDANCE OF DOUBT, THE MEMBER WILL NOT BE ENTITLED TO CLAIM ANY OF THE FOREGOING FROM BLUESG.

3.14 In the event that any BlueSG Membership Card is lost, stolen or damaged, You must notify BlueSG immediately. If the BlueSG Membership Card is lost, or if the BlueSG Membership Card is damaged to the extent that a replacement is required, You will be liable to pay an Additional Fee as set out in Schedule 1.

3.15 Amendments to the Contract:

3.15.1 BlueSG may, at any time, amend the Contract due to changes in applicable law and/or tax and such amendments shall be effective on the date of notification.

3.15.2 In addition, BlueSG may, at any time as determined by BlueSG in its sole discretion, amend the Contract for any other reason including, without limitation, changes to Fees, and such amendments shall be effective fourteen (14) days after the date of notification to its Members.

3.16 IF YOU DO NOT WISH TO BE BOUND BY CHANGES REFERRED TO IN SECTION 3.16 ABOVE, YOU ARE ENTITLED TO TERMINATE YOUR MEMBERSHIP BY WAY OF WRITTEN NOTICE THROUGH YOUR BLUESG ACCOUNT WITHIN FOURTEEN (14) DAYS OF BLUESG’S NOTICE TO AMEND THE CONTRACT.

3.17 Termination pursuant to section 3.17 above will release You from Your obligation to pay all Membership Fees that would apply to any period after the effective date of termination.

3.18 Notice to Members of any amendments will be delivered through email or a notification in the Members’ Area of the BlueSG Mobile App.

3.19 Termination for Cause:

3.19.1 BlueSG may terminate Your Membership and the Contract with immediate effect by giving You written notice: (a) where an Additional Fee becomes payable and in any of the circumstances set out in Schedule 1; or (b) if You do not pay any Fees within thirty (30) days of receipt of a payment reminder sent to You by BlueSG informing You that such Fees are outstanding. BlueSG may send this notice by post, email, text message or an alert in the Members’ Area. Any termination under this section 3.20.1(b) does not affect BlueSG’s right to charge the late payment interest on any outstanding amounts; or (c) if You materially breach any term or condition in the Contract. However, where it is possible for You to remedy the breach, we will give You notice of this and allow You at least seven (7) days to complete the remedy before exercising our right to terminate; or (d) if You are involved in an accident involving a BlueSG Car that leads BlueSG to reasonably conclude that You are not suitable for continuing Membership; or (e) if You engage in any activity or conduct that BlueSG, in its reasonable opinion, determines to be inappropriate, negligent, unacceptable, offensive or abusive; or (f) if You cease to fulfil any of the Eligibility Criteria; or (g) if You intentionally or recklessly make any false or misleading statement to BlueSG; or (h) if You permit any other person (other than a BlueSG representative) to drive a BlueSG Car during Your Rental Period, or share Your BlueSG Membership Card or Registered Card to allow a third party to do so.

3.20 BlueSG may also, at its sole discretion, terminate or suspend Your Membership, and Your future use of any BlueSG Services may be denied. Please refer to Schedule 1 for further details on this.

3.21 If BlueSG suspends or terminates Your Membership for cause, BlueSG will not reimburse any funds to You. Following such suspension or termination, You will remain responsible for any unpaid Membership Fees and other amounts due for the remainder of the previously purchased Membership Period, as well as outstanding amounts arising from any other obligation that these Terms and Conditions impose on You. In addition, BlueSG may, at any time, determine in its sole and absolute discretion that in addition to termination of a current Membership, Your future use of any BlueSG Services may be denied.

3.22 Termination without Cause :

3.22.1 BlueSG may terminate or suspend any BlueSG Membership, at any time, for any reason whatsoever. In the event that BlueSG terminates pursuant to this section, BlueSG’s sole and complete responsibility to You shall be to refund, within thirty (30) business days of the termination date, a pro-rata portion of any unused Membership purchased for which payment has previously been advanced.

3.22.2 You may, at any time during Your Membership Period, for any reason whatsoever, terminate Your Membership by way of:

(a) written notice through your BlueSG account not less than five (5) days prior to the Renewal Date for BlueSG Basic Memberships ; OR

(b) written notice through your BlueSG account within thirty (30) (but in any event not less than five (5)) days prior to the Renewal Date for BlueSG Premium Memberships .

In the event that Your termination request occurs during the initial term of Your Basic or Premium Membership (i.e. Your first one (1) month or first six (6) months), You shall be liable for the Membership Fees that you would have paid until the end of Your Membership Period had you not terminated Your Membership.

For the avoidance of doubt, in the event that You wish to terminate Your Membership during any Renewal Period , for Premium Memberships , you may do so only by way of prior written notice through your BlueSG account within thirty (30) (but in any event not less than five (5)) days prior to the Renewal Date.

BlueSG Basic Membership holders may terminate their Membership at any time during any Renewal Period by way of written notice through your BlueSG account not less than five (5) days prior to Your Renewal Date.

4. USE OF BLUESG SERVICE

4.1 BlueSG Car Reservation:

4.1.1 You may make a BlueSG Car reservation by any of the following means:

(a) by contacting the BlueSG Customer Service Centre; or

(b) via the BlueSG Mobile App.

In addition, You may also book a Rental Package via the BlueSG Mobile App.

4.1.2 After a BlueSG Car has been reserved, You have thirty (30) minutes to rent your car:

(a) by going to the selected BlueSG Station and collect the BlueSG Car; OR

(b) by clicking the “ start the rental ” button of your BlueSG Mobile App.

4.1.3 If the BlueSG Car has not been rented within the reservation period and You have not cancelled Your reservation within the reservation period, You will be charged an Additional Fee as set out in Schedule 1.

4.1.4 If You fail to collect a BlueSG Car that You have reserved on three (3) consecutive occasions within a twenty-four (24) hour period, You will be suspended from the BlueSG Service for twenty-four (24) hours from the time of the final failure to collect the BlueSG Car.

4.1.5 If You cancel Your BlueSG Car reservation within the reservation period, you will not be permitted to reserve another BlueSG Car for a period of ten (10) minutes from the time of cancellation.

4.1.6 BlueSG reserves the right to impose a BlueSG Car Reservation Fee on its Members at any time. For the avoidance of doubt, such Reservation Fee shall be subjected to Dynamic Pricing. The purpose of the BlueSG Car Reservation Fee is to optimise the availability of BlueSG Cars at BlueSG Stations.

4.1.7 In addition to the Reservation Fee and Rental Fee, BlueSG reserves the right, at any time, to impose a Location Surcharge at its stations including, without limitation , Singapore Changi Airport, Seletar Airport, Marina Bay Sands, Marina Bay Cruise Centre, Gardens by the Bay Resorts World Sentosa and Singapore Expo Centre.

4.1.8 As BlueSG is a self-service operation, BlueSG will not be responsible to You if a BlueSG Car is unavailable at any particular location or if we are unable to honour the reservation of a BlueSG Car, in the event of an occurrence outside of our control. However, if this does occur, please contact the Customer Relations Centre which will assess the situation and try to direct You to the next available BlueSG Car. In such a situation, You will be allocated an additional fifteen (15) minutes rental free period to get to the suggested BlueSG Car.

4.1.9 Notwithstanding any other provision to the contrary herein, BlueSG reserves the right (but shall not be obliged) to introduce new products, applications,

programmes, services, functions and/or features (collectively “ New Features ”) to the BlueSG Services at its sole discretion at any time.

4.1A BlueSG Parking Space Reservation:

4.1 A.1 You may make a BlueSG Parking Space reservation by any of the following means:

(a) by contacting the BlueSG Customer Service Centre; or

(b) via the BlueSG Mobile App.

4.1A.2 After a BlueSG Parking Space has been reserved, You have forty-five (45) minutes to park at the reserved BlueSG Parking Space after it has been reserved.

After this period has elapsed, the BlueSG Parking Space will be released.

4.1A.3 As BlueSG is a self-service operation, BlueSG will not be responsible to You if a BlueSG Parking Space is unavailable at any particular location or if we are unable to honour the reservation of a BlueSG Parking Space, in the event of an occurrence outside of our control (such as the parking or standing by an unauthorized vehicle or person). However, if this does occur, please contact the Customer Relations Centre who will try to direct You to the next available BlueSG Parking Space. You will be allocated an additional fifteen (15) minutes rental free period to get to such BlueSG Parking Space.

4.1 A.4 BlueSG reserves the right to impose a BlueSG Parking Space Reservation Fee on its Members at any time. For the avoidance of doubt, such Reservation Fee shall be subjected to Dynamic Pricing. The purpose of the BlueSG Parking Space Reservation Fee is to optimise the availability of BlueSG Parking Spaces at BlueSG Stations.

4.2 Queue-POP:

In the event of the unavailability of a BlueSG Parking Space or BlueSG Car at Your selected BlueSG Station, You may, through the Queue-POP function on the BlueSG Mobile App, select several BlueSG Stations within the proximity of Your initial choice of BlueSG Station. You may cancel Your reservation at any time HOWEVER an automatic reservation will be made on Your behalf when one of the BlueSG Cars or BlueSG Parking Spaces at the selected BlueSG Stations becomes available. Your other selected BlueSG Stations will automatically be cancelled, and the Reservation Fee for Your selected booking shall be the price originally set on confirmation of BlueSG Station selection via the BlueSG Mobile App.

4.3 Notwithstanding any other provision herein, BlueSG reserves the right to commence charging the Reservation Fees at any time as determined by BlueSG in its sole discretion.

4.4 For more details on how to use the BlueSG Car and Charge Point, please refer to the BlueSG Website.

4.5 Restrictions on Use :

4.5.1 You must operate the BlueSG Car responsibly and with all due care and attention.

4.5.2 You must, at all times, comply with all Applicable Law, rules, regulations, policies and restrictions relating to Your use of the BlueSG Car.

4.5.3 You must visually inspect the exterior and interior of the BlueSG Car upon accessing it. You are strongly advised to take a photograph of each side of the exterior of the BlueSG Car, including a photograph that clearly captures the number plate of the BlueSG Car and the interior of the BlueSG Car, prior to commencing your Rental and departing the BlueSG Station. Such photographs must be shared with BlueSG if requested by BlueSG. If the BlueSG Car has missing parts, is damaged or unclean, You must immediately call the Customer Relations Centre. You are also required to verify the presence of the BlueSG Car's Accessories. If any of these are missing, You must immediately notify the Customer Relations Centre. Failure to report damage, uncleanliness or missing items before You depart from the BlueSG Station will result in You being held liable in respect of such missing parts and/or damage or uncleanliness or missing items, and in addition to the repair cost for such missing parts and/or damage or uncleanliness or missing items, You will be charged an Additional Fee for Your failure to report such missing parts and/or damage or uncleanliness or missing items.

4.5.4 You must take all reasonable care of the BlueSG Car. Excluding ordinary wear and tear, You must return the BlueSG Car to us in the same condition as when You received it.

4.5.5 You are required to maintain the cleanliness of the BlueSG Car. This also means absolutely no pets permitted in a BlueSG Car under any circumstances whatsoever at any time before, during or after Your Rental Period. It is Your responsibility to remove all trash and all your personal belongings when returning a BlueSG Car and to otherwise leave the BlueSG Car in a clean state for the next user. BlueSG shall not be responsible for any loss of Your personal belongings in the event that You fail to remove such belongings prior to returning a BlueSG Car.

4.5.6 Whenever accessing or using the BlueSG Service, You shall carry valid driving licence or other certification permitting You to drive a car in Singapore as described in these Terms and Conditions. We, including, without limitation, our staff, reserve the right to request that You present a valid ID and Your BlueSG Membership Card (or Registered Card) to verify that You are the Member who has been authorized to possess and operate the BlueSG Car.

4.5.7 You must ensure that the BlueSG Car remains locked, secure and parked in a safe location when it is not being driven, with all windows fully shut and the trunk closed.

4.5.8 You must, at all times, maintain possession of Your BlueSG Membership Card and not share Your BlueSG Membership Card or Registered Card with any other person.

4.5.9 You and all passengers must use seat belts. If transporting children under 1.35m tall, they must be transported in the rear seat of the BlueSG Car in a child booster seat. A child booster seat is not provided by BlueSG. You are fully and solely responsible for the lawful and safe installation and usage of such child booster seat and for verifying that such use is lawful in the manner utilised.

4.5.10 You must only charge or attempt to charge a BlueSG Car at a BlueSG Charge Point. In particular, You must not charge or attempt to charge a BlueSG Car at a charge point not operated by BlueSG, or using a domestic electricity supply.

4.5.11 You may NOT , under any circumstances, access or operate the BlueSG Car or allow anyone to access or operate it:

(a) if the BlueSG Car’s charge falls below thirty percent (30%);

(b) outside of the BlueSG Zone;

(c) to learn how to drive or to train another to drive;

(d) to transport animals (including any pets);

(e) while engaging in any activity that would cause the BlueSG Car’s interior to become soiled, wet, smelly or otherwise uncomfortable for the next user;

(f) to transport passengers or goods for a fee;

(g) to act as a courier;

(h) to be operated by anyone other than You whether or not for a fee;

(i) as a for-hire vehicle as part of a transportation network company or any other for-hire or commercial purposes;

(j) so as to be pushed or pulled for any reason whatsoever;

(k) to tow or push any vehicle, trailer, or any other object;

(l) outside normally maintained paved roadways or roadways suitable for the BlueSG Car;

(m) to attach any items to the outside of the BlueSG Car;

(n) while placing any Advertising outside or within the BlueSG Car. “Advertising” includes but is not limited to any language, shape, and/or image intended to inform the public or attract their attention, whether commercial, informational (private or commercial), cultural, or political;

(o) to transport objects or substances (not limited to hazardous, flammable, corrosive, toxic, explosive, ionizing, or combustible materials) that, due to their nature or odour, may damage the BlueSG Car and/or delay the ability to make the BlueSG Car available again or otherwise could create a hazardous situation for Yourself or others;

(p) to participate in automobile races, rallies, trials, or any other competitive event;

(q) in violation of traffic laws or other laws and regulations, including through toll lanes without complying with applicable payment and other requirements;

(r) when a BlueSG Car is loaded beyond the manufacturer’s stated passenger and cargo capacity;

(s) when suffering from excess fatigue;

(t) when under the influence of alcohol, drugs, medication, or any other legal or illegal substance that might alter or impair Your ability to safely and lawfully operate the BlueSG Car;

(u) while smoking, eating, drinking or illegally using drugs in a BlueSG Car;

(v) for any illegal purpose, including the illegal conveyance of persons, drugs or contraband, or weapons;

(w) to destroy, damage, or aid in the theft of the BlueSG Car;

(x) to disassemble, service, or repair, any BlueSG Car or access any internal mechanical or electric component within the BlueSG Car; and

(y) if the BlueSG Car has been obtained by fraud or misrepresentation.

If You are in violation of any of these Terms and Conditions, Your failure to comply with these Terms and Conditions will give rise to Your full indemnification of BlueSG for any resulting harm or damage that may occur and, in some instances, as a result of Your failure to comply with these Terms and Conditions, You shall not be eligible for Insurance Cover. In addition, You shall also be liable for any penalties that may be imposed by the relevant authorities due to Your non-compliance with Applicable Laws.

5 PAYMENT OF FEES

5.1 In order to enroll in the BlueSG Service, You must provide a valid Payment Card that: (i) has an expiration date at least fourteen (14) days following the conclusion of the Membership Period) for the Membership type that You selected; and (ii) unless prohibited by law, You have authorized, and hereby do authorize, BlueSG to charge the Payment Card for all Fees due to BlueSG as specified these Terms and Conditions even after the expiration of Your Membership Period.

5.2 As a condition to, and in consideration of Your enrolment in BlueSG, You agree to pay all Fees if and when they become due, and unless prohibited by law, You authorize BlueSG to charge Your Payment Card for all Fees. All Fees are due immediately when they are incurred.

5.3 YOU AGREE THAT YOU CURRENTLY ARE AND WILL IN THE FUTURE REMAIN CURRENT WITH YOUR PAYMENT OBLIGATIONS TO BLUESG EVEN AFTER THE MEMBERSHIP IS TERMINATED AND THAT BLUESG MAY CHARGE YOUR PAYMENT CARD FOR ANY OUTSTANDING FEES AFTER YOUR MEMBERSHIP PERIOD HAS EXPIRED.

5.4 BlueSG will deliver periodic invoices to the Member. Such invoices will set out all Fees due to BlueSG as at the date of that invoice or paid to BlueSG since the

later of: (i) the date of the previous invoice delivered to the Member, and (ii) the Activation Date.

5.5 You may access all invoices via the Member Area. You may request for hardcopies of invoices at an Additional Fee.

5.6 You must amend Your contact and account information (including the Member's payment information) in the Members’ Area whenever it changes so that information available to BlueSG is up to date throughout the entire duration of the Contract, and in particular, before You reserve or rent a BlueSG Car.

5.7 If Your current Payment Card is cancelled during the term of this Contract, You must update Your Payment Card details via the Members’ Area the BlueSG Mobile App immediately on the cancellation of Your current Payment Card. For Payment Cards due to expire, this update must take place at least fourteen (14) days prior to the expiry date and in any event, no later than upon receipt of the new Payment Card.

5.8 You shall ensure that there are sufficient funds in the Member's bank account for payment of all Fees and any other amounts that might be due to BlueSG under this Contract and shall provide BlueSG with an alternative method of payment if such funds are not available or if Your Payment Card is cancelled by You or Your bank.

5.9 If we are unable to withdraw funds from Your account, we will send You an email or a text message informing You of the issue. We may make a second attempt to withdraw funds from Your account within ten (10) business days after the first failed attempt. We may suspend Your Membership until You have provided us with up to date payment information and paid us any monies owed to us. We will always let You know when we suspend Your Membership. You will also be charged an Additional Fee by way of an administration fee if a payment that is due to us from You is dishonoured or rejected by Your bank. For the avoidance of doubt, even if your Membership is suspended, You will continue to be charged Your current Membership Fee. You must pay us any monies owed to us in order for Your Membership to be terminated in accordance with section 3.9.6 above.

5.10 Under no circumstances will BlueSG be responsible for any overdraft, over limit or any other fees charged by the Member's Payment Card company or bank.

5.11 Subject to section 5.12 below, all Fees under this Contract shall be paid in full without any set-off, counterclaim, deduction or withholding (other than any deduction as required by law).

5.12 Vouchers

5.12.1 BlueSG may, in BlueSG's sole discretion, create promotional codes that may be redeemed by the Member and credited against Fees, subject to any additional terms that BlueSG establishes on a per promotional code basis (" Promotional Code ").

5.12.2 You agree that Promotional Codes: (a) are unique to the Member to which they are delivered, are non-transferable, and can only be used by the Member to which they are delivered; (b) must only be used for the intended purpose, and in a lawful manner; (c) may not be duplicated, sold or transferred in any manner, or made available to the general public (whether posted to a public forum or otherwise), unless expressly permitted by BlueSG; (d) may be disabled by BlueSG at any time for any reason without liability to You; (e) may only be used pursuant to the specific terms that BlueSG establishes for such Promotional Code; (f) are not valid for, and cannot be exchanged for, cash; and (g) may expire prior to Your use of the Promotional Code. BlueSG reserves the right to withhold or deduct credit against Fees or other features or benefits obtained through the use of Promotional Codes by You in the event that BlueSG determines or believes that the use or redemption of the Promotional Codes was in error, fraudulent, illegal, or in violation of the applicable Promotional Code's terms or these Terms and Conditions.

6. SECURITY DEPOSIT

6.1 When becoming a Member, BlueSG may, at its sole discretion, require You to instruct Your bank to pre-authorise a Security Deposit for BlueSG’s benefit. The amount of the Security Deposit will not be debited by BlueSG except in the circumstances set out below. However, the amount of the Security Deposit will be unavailable to You to withdraw from Your account until released by Your bank.

6.2 The amount of the Security Deposit shall be determined by BlueSG based on Your rental history and payment record. The maximum amount of any Security Deposit is equal to the highest total Rental Fees paid by You in any two (2) calendar months (including where such calendar months are not consecutive).

6.3 Any Security Deposit pre-authorised by You will be withdrawn by BlueSG in the event of:

6.3.1 non-payment by You of any Fees or any other sums due to BlueSG;

6.3.2 failure by You to return a BlueSG Car; and/or

6.3.3 payment of damages for which You are liable under this Contract, including any Additional Fees that may fall due.

6.4 BlueSG will release the pre-authorisation of the Security Deposit within a maximum of fourteen (14) days from the termination of Your Membership.

7. TRAFFIC AND PARKING VIOLATIONS AND FINES

7.1 You are personally responsible for any breach of traffic, rules and regulations when using the BlueSG Car. You are also personally responsible for any breach of underground and external parking law, rules and regulations when using the BlueSG Parking Space.

7.2 You must pay all tickets, surcharges, tolls, fines or penalties arising in connection with Your use of the BlueSG Car. Where a ticket, fine or penalty is notified to BlueSG, BlueSG will send Your Information to the relevant authorities. You are responsible for each ticket, fine or penalty to the authorities. You shall then settle such ticket, fine or penalty directly with the issuing authority. Where a ticket, surcharge, toll, fine or penalty is notified to You, You must notify the Customer Relations Centre within three (3) days of Your receipt of the relevant ticket, surcharge, toll, fine or penalty.

7.3 You acknowledge and agree that BlueSG may provide Your identity details to any law enforcement authorities on request and/or otherwise in connection with any alleged breach of Applicable Laws by You.

7.4 You must pay BlueSG the Additional Fee as specified in Schedule 1 for each ticket and fine issued to BlueSG for the BlueSG Car used by You during the Your Rental Period to cover BlueSG's reasonable administrative costs in handling receipt of such ticket and/or fine.

7.5 If You cause the BlueSG Car to be immobilised or clamped, or removed by breach of any Applicable Laws, You will be liable to BlueSG as if You had abandoned the BlueSG Car and You must pay to BlueSG the Additional Fee as specified in Schedule 1. You will also be liable to reimburse BlueSG for any fees or any other liabilities to the relevant parking authority or private operator of the relevant parking facility.

8. INSURANCE

8.1 Subject to applicable exceptions and specific terms and conditions of the policy providing coverage, the Insurance Cover provided by BlueSG insures You against liability to a third party caused by or arising out of Your use of a BlueSG Car on the road in accordance with the terms of the Contract, in respect of death, personal injury and/or damage to property suffered by such third party, pursuant to the Motor Vehicles (Third Party Risks and Compensation) Act (Cap. 189).

8.2 Subject to the section above, BlueSG does not warrant or represent that the Insurance Cover is comprehensive or sufficient to meet Your needs. For the avoidance of doubt, IN THE EVENT THAT YOU LEAVE THE BLUESG ZONE, THE INSURANCE COVER SHALL NOT APPLY .

8.3 BlueSG maintains third-party liability insurance for itself consistent with the minimum standard of insurance cover required by law as follows:

8.3.1 unlimited for death or bodily injury to any person in any one accident; and

8.3.2 up to a limit of Singapore dollars five million (S$5,000,000) per claim or a series of claims resulting from one event for damage to property resulting from the accident. For the avoidance of doubt, in the event that a claim or a series of claims resulting from one event for damage to property resulting from the accident exceeds Singapore dollars five million (S$5,000,000), You will not be covered for such additional amount.

8.3.3 The Insurance Cover also includes: (a) medical expenses insurance covering the reasonable medical expenses for You, as the driver of the BlueSG Car, up to a maximum of Singapore dollars one thousand (S$1,000) per accident; and (b) personal accident cover for You, as the driver of the BlueSG Car, or the passenger in the BlueSG Car, up to a maximum of Singapore dollars one hundred thousand (S$100,000).

8.4 You acknowledge and agree that the Insurance Cover may not cover in whole or in part, Your liability to BlueSG or to a third party, including for damage to the BlueSG Car, damage to a BlueSG Station (including, without limitation, the Charge Points), injury to You, injury to other people, and/or damage to or loss of Your property or a third party's property, and that despite the Insurance Cover, You may be liable directly to BlueSG and/or any third party to whom You have caused damage, injury or loss through Your use of the BlueSG Service. For the avoidance of doubt, the Insurance Cover does not cover any damage to or loss of Your property through Your use of the BlueSG Service.

8.5 Moreover, You acknowledge and agree that the Insurance Cover will not cover you in the following cases, including, without limitation:

8.5.1 using a BlueSG Car by any other person other than the Member;

8.5.2 using the BlueSG Service with an invalid driving licence;

8.5.3 using the BlueSG Service while under the influence of drugs or alcohol;

8.5.4 in the event that the Member leaves the BlueSG Zone;

8.5.5 participating in automobile races, rallies, trials or any other competitive event, and more generally, having a behaviour and a use of the BlueSG Service, which is not in accordance with the whole Contract; and

8.5.6 making a false statement to the Insurer.

8.6 You acknowledge that the availability to You or any third party (including any passenger in a BlueSG Car operated by You) of a claim under the Insurance Cover does not affect BlueSG’s entitlement to bring a claim against You in respect of damage caused by You resulting from a breach of this Contract, the insurance documentation referred to in this section, and/or Applicable Laws, except as set out in this section.

8.7 The circumstances referred to the preceding section (in which BlueSG may bring a claim against You for any loss that BlueSG suffers as a result of damage to the BlueSG Car arising during a Rental Period) are where the damage arises as a result of or in connection with any: (a) breach by You of the Contract; (b) unlawful activity undertaken by You; (c) misrepresentation by You (either to BlueSG or in any accident report, insurance claim or police report); (d) improper use of the BlueSG Car (e.g. transport of flammable materials or explosives or use of the BlueSG Car as a for-hire vehicle or any other commercial purpose); (e) wilful damage; (f) use of a BlueSG Car by any other person other than by You; (g) failure to lock the doors and boot of the BlueSG Car when it is unattended.

8.8 BlueSG reserves the right, at any time, without notice to You, to modify the BlueSG Insurance Cover so long as it complies with the minimum standard of insurance cover required by law to permit You to drive a BlueSG Car on the road.

8.9 In the event of any payment under this policy, BlueSG and its insurer are entitled to all the rights of recovery of the person to whom payment was made against another. That person must sign and deliver to BlueSG and its insurer any legal papers relating to that recovery, do whatever else is necessary to help BlueSG and its insurer exercise those rights and do nothing to prejudice the rights of BlueSG or its insurer.

8.10 When a person has been paid damages under the BlueSG Insurance Cover and also recovers from another, the amount recovered from the other shall be held by that person in trust for BlueSG and its insurer and reimbursed to BlueSG and its insurer to the extent of any payment by BlueSG or its insurer.

8.11 BlueSG and its insurer may seek “subrogation” which is reimbursement from You in the event that You are at fault for an accident for which BlueSG or its insurer has provided payments to a third party for damages or injuries sustained by that third party.

8.12 In the event of a collision, accident or incident resulting in third party injury or damage, You are strictly prohibited from entering into a settlement with any third party, or otherwise prejudice the interests of BlueSG or its Insurer. The Insurance Cover may not cover You if You do so.

8.13 You agree to ensure that you and your passengers provide full co-operation to BlueSG and its insurer, including giving all information, documents and help that BlueSG and its insurer may need, attending interviews and investigations, providing statements, and/or assisting in and attending any court or dispute proceedings. If you and your passengers fail to do so, the Insurance Cover may not apply.

9. RELEASE AND LIMITATION OF LIABILITIES; INDEMNITIES

9.1 Release of Liability:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU, ON BEHALF OF YOURSELF AND YOUR SUCCESSORS IN INTEREST (AS DEFINED BELOW) (COLLECTIVELY, “RELEASORS”), HEREBY RELEASE AND DISCHARGE US, OUR AFFILIATES (AS DEFINED BELOW) AND SUPPLIERS AND EACH OF OUR AND THEIR OFFICERS, DIRECTORS, MEMBERS, MANAGERS, SUCCESSORS, ASSIGNS, AGENTS AND EMPLOYEES (COLLECTIVELY, “RELEASED PARTIES”) FROM AND AGAINST ANY AND ALL LIABILITY, LOSS (INCLUDING BUT NOT LIMITED TO LOSS OF INCOME, WAGES, SUPPORT, OR CONSORTIUM), INJURY, DEATH, DAMAGES (INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES), COSTS, EXPENSES (INCLUDING BUT NOT LIMITED TO LEGAL FEES AND COSTS), HARM, CLAIMS, OR CAUSES OF ACTION (INCLUDING BUT NOT LIMITED TO CLAIMS FOR PERSONAL INJURY, WRONGFUL DEATH AND/OR PROPERTY DAMAGE), ARISING OUT OF OR RELATING TO (I) THE USE OF THE BLUESG CAR OR ANY COMPONENT, FEATURE, ACCESSORY OR CONFIGURATION OF THE BLUESG CAR, (II) ANY ACCIDENT OR INCIDENT INVOLVING A BLUESG CAR, (III) THE USE OF A BLUESG STATION, BLUESG CHARGE POINT, OR BLUESG PARKING SPOT OR ANY EQUIPMENT OR ACCESSORIES THEREON, (IV) YOUR ACTS OR OMISSIONS, OR (V) YOUR OR YOUR PASSENGERS’ DAMAGE TO OR LOSS OF PERSONAL PROPERTY, IN EACH CASE (I) THROUGH (V), WHETHER IN STRICT LIABILITY, CONTRACT, OR TORT, REGARDLESS OF HOW SUCH INJURY, DAMAGE, OR LOSS MAY ARISE AND REGARDLESS OF WHETHER THE INJURY, DAMAGE, OR LOSS IS OCCASIONED IN WHOLE OR IN PART BY THE ACTIVE OR PASSIVE NEGLIGENCE, NEGLECT OR FAULT OF ANY ONE OR MORE OF THE RELEASED PARTIES, OR ANY OTHER BREACH OF A LEGAL DUTY ARISING BY COMMON LAW, STATUTE, OR CONTRACT. THIS RELEASE MAY BE LIMITED TO THE EXTENT OUR MINIMUM FINANCIAL RESPONSIBILITY APPLIES.

9.2 Limitation of BlueSG’s Liability:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLUESG HEREBY DISCLAIMS AND SHALL NOT BE LIABLE TO YOU OR ANY OTHER PARTY OR THIRD PARTY, OR BE HELD RESPONSIBLE FOR ALL ECONOMIC, INCIDENTAL, CONSEQUENTIAL, INDIRECT, SPECIAL, PUNITIVE, ENHANCED, AND EXEMPLARY DAMAGES, AND LOST PROFITS, ARISING OUT OF OR RELATING TO YOUR ACTS OR OMISSIONS, TO THESE TERMS AND CONDITIONS, OR TO ANY BREACH OF THESE TERMS AND CONDITIONS, ALL REGARDLESS OF WHETHER FORESEEABLE OR UNFORESEEABLE, WHETHER CLAIMED UNDER CONTRACT, TORT, FAILURE OF WARRANTY, OR ANY OTHER LEGAL THEORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE MAXIMUM AGGREGATE LIABILITY OF BLUESG FOR ALL CLAIMS UNDER THESE TERMS AND CONDITIONS SHALL NOT EXCEED THE FEES RECEIVED BY BLUESG FROM YOU IN THE PRECEDING TWELVE (12) MONTHS OR IF THERE IS NOT TWELVE (12) MONTHS OF SERVICE HISTORY BETWEEN BLUESG AND MEMBER, THEN SINGAPORE DOLLARS FIVE THOUSAND (S$5,000). THIS LIMITATION OF LIABILITY MAY BE LIMITED TO THE EXTENT OUR MINIMUM FINANCIAL RESPONSIBILITY APPLIES.

9.3 Disclaimer of Warranties:

YOU TAKE THE BLUESG CAR AS IS WITH ALL FAULTS. BLUESG MAKES NO EXPRESS OR IMPLIED WARRANTIES, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR THAT THE BLUESG CAR, STATIONS, OR BLUESG CHARGE POINTS ARE FIT FOR ANY PARTICULAR PURPOSE.

9.4 Indemnity:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU, ON BEHALF OF YOURSELF AND YOUR SUCCESSORS IN INTEREST, AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS THE RELEASED PARTIES FROM AND AGAINST ANY CLAIMS, ACTIONS SUITS, PROCEEDINGS, LOSSES, DAMAGES, LIABILITIES COSTS, AND EXPENSES (INCLUDING, WITHOUT LIMITATION REASONABLE LEGAL FEES AND COSTS) ARISING OUT OF OR RELATING TO YOUR FAILURE TO COMPLY WITH THESE TERMS AND CONDITIONS. YOU MAY PRESENT THE CLAIM TO YOUR INSURANCE CARRIER FOR SUCH EVENTS OR LOSSES; BUT IN ANY EVENT, YOU SHALL HAVE FINAL RESPONSIBILITY REGARDING ANY SUCH LOSSES AND TO ALL THIRD PARTIES. THIS OBLIGATION MAY BE LIMITED TO THE EXTENT OUR MINIMUM FINANCIAL RESPONSIBILITY APPLIES.

9.5 Definitions

For purposes of this section 9, “Affiliates” of BlueSG shall mean any natural person, firm, corporation, partnership, association, limited liability company, trust, or any other legal entity who, directly or indirectly, controls, is controlled by or is under common control with such person or entity, including, without limitation, any general partner, manager, managing member, officer, or director of such entity. For purposes of this section 9, “ Successors in Interest ” shall mean Your spouse, children, devisees, personal representatives, survivors, heirs, issue, assigns, creditors, successors, executors, administrators, legatees, insurers, estate

beneficiaries and estate, any person wholly or partially dependent on You for support and maintenance, and any other person or entity acting for, on behalf of, or through You or having a property right in, or a claim against, a trust estate or the estate of a decedent.

9A      ACCIDENTS, DAMAGE TO OR THEFT OF BLUESG CAR

9A.1 YOU ARE RESPONSIBLE FOR ANY AND ALL LOSS OF OR DAMAGE TO THE BLUESG CAR THAT YOU CAUSE WHILE YOU ARE IN POSSESSION OF IT. SUCH LIABILITY IS LIMITED TO:

(A) LOSS OR DAMAGE TO THE BLUESG CAR IN ACCORDANCE WITH SECTION 3 OF SCHEDULE 1 (OWN DAMAGE EXCESS) RESULTING FROM BUT NOT LIMITED TO A ROAD TRAFFIC ACCIDENT OR COLLISION OR OTHERWISE REGARDLESS OF THE CAUSE OF DAMAGE; AND/OR

(B) LOSS OR DAMAGE CAUSED TO ANY THIRD-PARTY PROPERTY (INCLUDING THIRD-PARTY VEHICLES AND CHARGE POINTS) IN ACCORDANCE WITH SECTION 3 OF SCHEDULE 1 (THIRD-PARTY EXCESS); OR

(C) LOSS DUE TO THEFT OF THE BLUESG CAR UP TO ITS FAIR MARKET VALUE; OR

(D) PHYSICAL DAMAGE TO THE BLUESG CAR UP TO ITS FAIR MARKET VALUE, RESULTING FROM VANDALISM OCCURRING AFTER, OR IN CONNECTION WITH, THE THEFT OF THE VEHICLE; OR

(E) PHYSICAL DAMAGE TO THE BLUESG CAR UP TO UP TO ITS FAIR MARKET VALUE RESULTING FROM VANDALISM UNRELATED TO THE THEFT OF THE BLUESG CAR.

HOWEVER YOUR LIABILITY IS NOT LIMITED IN SITUATIONS WHERE INSURANCE COVER WOULD NOT APPLY, AND/OR IN SITUATIONS OF PROHIBITED USE IN THIS CONTRACT INCLUDING, WITHOUT LIMITATION, CLAUSE 4.5.11 AND CLAUSE 8.5.

YOU ACKNOWLEDGE AND AGREE THAT YOUR LIABILITY FOR ALL LOSS AND DAMAGE UNDER THIS CONTRACT IS DUE AND PAYABLE IMMEDIATELY. IN ADDITION TO THE ABOVE, IF YOU ARE LIABLE FOR SUCH DAMAGE, YOU SHALL ALSO BE LIABLE TO BLUESG FOR ANY AND ALL COSTS, EXPENSES, CLAIMS AND/OR LOSSES INCURRED BY OR SUSTAINED BY BLUESG WHICH MAY INCLUDE, LOSS OF USE OF VEHICLE, TOWING, STORAGE AND IMPOUND FEES ARISING OUT OF OR IN CONNECTION WITH SUCH ACCIDENT OR DAMAGE OR THEFT, AND AN ADMINISTRATIVE CHARGE. FOR THE AVOIDANCE OF DOUBT, THE ADMINISTRATIVE CHARGE IS A CHARGE TO COVER ADMINISTRATIVE ACTIVITIES INCLUDING, WITHOUT LIMITATION, RECORD KEEPING, DATA FILING AND INTERNAL INVESTIGATIONS CONDUCTED BY BLUESG.

9A.2      In the event of an accident, breakdown or technical fault of the BlueSG car such that it cannot be driven, You are required to immediately contact the Customer Relations Center which will direct You to Your next course of action. You are required to stay with the BlueSG Car until You are informed by the Customer Relations Center of Your next course of action, including until the Expressway Monitoring and Advisory System (EMAS) or other towtruck has towed the BlueSG Car to the nearing parking lot.

9A.3      In the event that You are unreachable or fail to make an accident report at our Accident Reporting Center, Your Membership will be temporarily suspended until a report has been filed. Failure to make a report within the stipulated time will result in an Additional Fee of up to $1000 being imposed as set out in Schedule 1. For the avoidance of doubt, even if your Membership is suspended, You will continue to be charged Your current Membership Fee.

9A.4     Notwithstanding any other provision to the contrary herein, in the event that You fail to immediately call the Customer Relations Centre to report:

(i)          any missing parts, damages or cleanliness issues with the BlueSG Car upon accessing it BEFORE You commence your Rental and depart from the BlueSG Station; and/or

(ii)         any damage to a BlueSG Station before you depart from the BlueSG Station,

You may be held liable in respect of such missing parts and/or damage or uncleanliness or missing items in the BlueSG Car and/or any damage to the BlueSG Station, and in addition to the repair cost for such missing parts and/or damage or uncleanliness or missing items or BlueSG Station repair cost, You will be charged an Additional Fee for Your failure to report such missing parts and/or damage or uncleanliness or missing items and/or any damage to the BlueSG Station.

Members will be notified of charges, penalties, suspension or cancellation of Membership by way of written notice through one of the following means:

1. Text message to the Members’ mobile number that has been provided by the Member during the application process; or

2. Email to the Member Email Address; or

3. Post in the Members’ Area of the BlueSG Mobile App; or

4. Registered post to the Members’ residential address that has been provided by the Member during the application process.

Notice shall be deemed to have been duly served immediately if delivered personally or given or made by text message or electronic mail or posted in the Members’ Area of the BlueSG Mobile App. Save for cancellation of Membership due to Own Damage Excess or Third-Party Excess, the effective date of suspension or cancellation of Membership shall be the date such notice is sent.

9A.6     In the event that you are uncontactable or fail to make a report to our Accident Reporting Center, Your Membership will be temporarily suspended until Your report has been made and filed. Failure to make a report within the time stipulated by the Applicable Law will result in an Additional Fee of up to $1000 being imposed as set out in Schedule 1. For the avoidance of doubt, even if your Membership is suspended, You will continue to be charged Your current Membership Fee.

10. SERVICE INTERRUPTIONS

10.1 While BlueSG uses its reasonable endeavours to make the BlueSG Service available, the 24/7 availability of the BlueSG Service is not guaranteed. Because the BlueSG Service is self-service operation, BlueSG shall not be liable if: (a) a BlueSG Car or BlueSG Parking Space is unavailable at any particular location; or (b) BlueSG is incapable of honouring a reservation for a BlueSG Car or BlueSG Parking Space in the event of an occurrence outside of BlueSG’s control, such as another Member failing to return a BlueSG Car at the end of their Rental Period or the parking of an unauthorised vehicle in the BlueSG Parking Space at the time reserved.

10.2 If, for any reason, a BlueSG Service is Completely Unavailable for a period of more than five (5) days, a Premium Member's sole remedy shall be BlueSG's extension of the applicable Membership for an equivalent number of days that the BlueSG Service was Completely Unavailable. For Basic Members if the BlueSG Service which is the subject of the Membership is Completely Unavailable for more than fifty percent (50%) of the Membership time period, the Member's sole remedy shall be BlueSG's refund of all paid instalments of the Membership Fee.

11. DISPUTE RESOLUTION AND GOVERNING LAW

11.1 This Contract is governed by and construed in accordance with the laws of Singapore.

11.2 The parties hereby submit unconditionally to the exclusive jurisdiction of the courts of Singapore.

12. GENERAL TERMS

12.1 The Member acknowledges and agrees that ownership of the BlueSG Cars and BlueSG Car Accessories remains with BlueSG at all times.

12.2 Nothing in this Contract is intended to, or shall be deemed to establish any partnership, agency or joint venture between the Member and BlueSG.

12.3 Only the Member and BlueSG have rights under this Contract. No other person shall have any rights under this Contract. The Member may not transfer or assign any of the Member's rights or obligations under this Contract to any other person unless BlueSG agrees to this in writing before any such transfer. However, BlueSG may transfer its rights and obligations under this Contract to another organisation at any time. BlueSG will notify You if it plans to do this.

12.4 The rights and remedies provided in this Contract are in addition to, and not exclusive of, any rights or remedies provided by law.

12.5 If BlueSG does not insist immediately that You do anything You are required to do under these terms, or if BlueSG delays in taking steps against You in respect of Your breaking this contract, that will not mean that You do not have to do those things and it will not prevent BlueSG from taking steps against You at a later date. For example, if You miss a payment and BlueSG does not contact You immediately but BlueSG continues to provide the BlueSG Service, BlueSG can still require You to make the payment at a later date.

12.6 The section headings in these Terms and Conditions are included for convenience only and shall not affect the interpretation of these Terms and Conditions.

12.7 Each of the sections of these Terms and Conditions operates separately. If any court or relevant authority decides that any of them (or any part of any of them) are unlawful, the remaining provisions will remain in full force and effect.

12.8 The Member agrees that the Member shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this Contract. Each party agrees that it shall have no claim for innocent or negligent misrepresentation based on any statement in this Contract.

12.9 Nothing in this Contract shall limit or exclude any liability for fraud.

1.1 The Rental Fees are calculated based on the rate set out in the table above, and the duration of the relevant Rental Period. The minimum rental period is fifteen (15) minutes, meaning that if You rent a BlueSG Car for less than fifteen (15) minutes, You will be charged Rental Fees as if You had rented that BlueSG Car for fifteen (15) minutes.

1.2 Rental Fees are payable in addition to the Membership Fee and You cannot credit any instalments of the Membership Fee against the Rental Fee. For the purposes of calculating the Rental Fees: (a) any incomplete minutes in the Rental Period will be rounded up to the next minute; and (b) where the Rental Period is shorter than fifteen (15) minutes, the Rental Period will be rounded up to fifteen (15) minutes.

1.3 If You do not follow the procedure for correctly returning the BlueSG Car the Rental Period may not end, and You will continue to be charged Rental Fees up to a maximum per Rental Period as set out in the table in section 4 of this Schedule 1, even if You are not actually using the BlueSG Car. We therefore recommend that You wait in the vicinity of the BlueSG Car until You have received a text message or push notification from us, confirming that the BlueSG Car has been successfully returned, and that the Rental Period has ended.

Regardless of Your Membership type, in the event that You select one of our Rental Packages, the following shall apply:

1.4.1 The Rental Fees applicable for each Rental Packages is fixed and shall apply even if you fail to complete the applicable duration. For illustration purposes, where You select the 4-hour Rental Package and utilise only 2 hours, you shall still be charged the Rental Fees for the 4-hour package in full and such Rental Fee shall not be pro-rated, credited or refunded to You. You are also not permitted to apply any free minutes available on Your account to Your selected Rental Packages.

1.4.2 Where Your Rental Period exceeds the duration of your selected package, the portion of the Rental Period that exceeds the duration of your selected package shall be charged in accordance with Your Membership type. For illustration purposes, where You have a Premium Membership and have selected the 4-hour package and utilise 4 hours and 45 minutes, each additional minute (after the 4 hours) shall be charged at the applicable per minute rate. You are permitted to apply any free minutes available on Your account to the portion of Your Rental Period that exceeds the duration of your selected offer.

1.5 PAID RESERVATION OF A BLUESG CAR OR A BLUESG PARKING SPACE

1.5.1 Depending on rental demand, BlueSG may impose a fee for the reservation of a BlueSG Car or a BlueSG Parking Space.

1.5.2 You can accept the fee and confirm the reservation fee at the time of making the reservation on the BlueSG App. If You do not accept the fee, You can reject it and proceed to use the BlueSG Service without the reservation.

1.5.3 Paid reservation of a BlueSG Car will remain valid for 30 minutes and paid reservation of a BlueSG Parking Space will remain valid for 45 minutes. Reservation Fees are non-refundable in the event that You end up cancelling the reservation or not using the reserved BlueSG Car or BlueSG Parking Space. In addition, in case of non-use of the reserved BlueSG Car or BlueSG Parking Space, You will be charged an Additional Fee as stated below in Section 2 of this Schedule I. If, however, Your reserved BlueSG Car or BlueSG Parking Space becomes unavailable for any reason unrelated to You, Your Reservation Fees will be refunded to You.

1.6 LOCATION SURCHARGE

1.6.1 Depending on rental demand, BlueSG may impose a Location Surcharge for rentals commencing from and/or ending at any current or future BlueSG Stations. Any applicable Location Surcharge will be displayed on the BlueSG App.

1.6.2 If the starting and ending BlueSG Station in the same trip both contain a Location Surcharge, you will be charged a Location Surcharge both at the time of commencing the rental and at the time of ending the rental.

2. ADDITIONAL FEES

2.1 For certain violations, acts or omissions or other failures to comply with the terms of the Contract, in addition to BlueSG’s right to terminate and/or suspend Member’s Membership, and the other remedies detailed in this Contract, the following Additional Fees may be levied against the Member by BlueSG at its sole discretion. These Additional Fees are non-exclusive, and shall be in addition to such other remedies as may be available to BlueSG under this Contract, at law, and in equity.

In addition, BlueSG may, at any time, determine that in addition to cancellation of a current Membership, Member’s future use of any BlueSG Services may be barred for a duration at BlueSG’s sole discretion.

During Membership suspension and following Membership termination by BlueSG due to Member’s misconduct or omission, Member shall continue to be liable for Membership charges and other fees applicable through the conclusion of the current Membership period, including any renewal period.

reporting centre (listed on the BlueSG Website)
within 24 hours of such accident as required by
Applicable Laws.

3. EXCESS

Where, during a Rental Period, the BlueSG Car is damaged and/or if any injury or damage is caused to third party persons or property (including, without limitation, damage arising out of or in connection with a road traffic collision or accident) the Member shall pay to BlueSG the applicable Excess(s). The Excess(s) payable is set out in the table below. Until payment of the applicable Excess(s) is received, the Member is suspended from using the BlueSG Service.
